What Are the SOP 50 10 8 Requirements?

SOP 50 10 8 is the SBA's 7(a) and 504 rulebook, effective June 1, 2025, and SOP 50 10 8.1 now updates it. Together they require 100% U.S. citizen or national ownership, a 10% equity injection for Initial Acquisitions, and debt service coverage (DSC) minimums by deal type. They also set a quality of earnings (QoE) threshold, a valuation-based debt cap, and limits on refinancing factoring and merchant cash advances (MCAs).

According to SBA Information Notice 5000-866746, SOP 50 10 8 applies to all applications issued an SBA loan number on or after June 1, 2025. SOP 50 10 8.1 builds on it with added detail on acquisitions and ownership.

For lending teams, every requirement maps to a data or document checkpoint the workflow must capture:

  • Ownership: Citizenship and principal residence for 100% of direct and indirect owners.
  • Sanctions: OFAC screening for the applicant and its owners.
  • Deal category: One of four Appendix 15 change-of-ownership types, set at intake.
  • Equity: A 10% injection for Initial Acquisitions, with limited sources capped at half.
  • Financials: A QoE report at $3 million+ purchase prices, on top of the required business valuation.
  • Credit: DSC floors of 1.15:1 or 1.25:1, depending on transaction type.
  • Refinancing: Factoring excluded, and MCAs eligible only after conversion to a seasoned term loan.

This article is general information, not legal advice. Confirm each requirement against the current text on SBA's SOP 50 10 page, the official SBA document page for the SOP.

Which Version Applies: SOP 50 10 8 vs. SOP 50 10 8.1

SBA announced 8.1 in Information Notice 5000-880695, Issuance of SOP 50 10 8.1, published August 14, 2026, and effective October 1, 2026. The National Association of Government Guaranteed Lenders, in NAGGL's SOP 8.1 summary, applies 8.1 to loans receiving an SBA loan number on or after October 1, 2026.

SBA's technical-updates notice uses application dates instead and applies 8.1 to applications received by SBA on or after October 1, 2026. Lenders must use SOP 50 10 8 for 7(a) and 504 applications submitted through September 30, 2026. NAGGL reports that the SOP 8.1 technical policy updates supersede the August 14 version, which never took effect.

The SBA Information Notice 5000-882227, published September 25, 2026, made these key technical updates:

  • Trust guarantees: Trusts owning 20% or more in aggregate must each give an unlimited full guaranty. The trustor must also personally guarantee.
  • QoE reliance: An existing applicant QoE works with a reliance letter or a different firm's secondary review. It can't be prepared by or for the seller.
  • Working-capital adjustments: Adjustments in the purchase and sale agreement are not treated as seller rebates.
  • 7(a) Small and SBA Express: Both may fund changes of ownership, with internal valuations allowed at purchase prices of $350,000 or less. No reduced DSC applies.
  • Special Purpose Property: A single loan can run up to 25 years when property value depends substantially on operating the acquired business.
  • Mixed-purpose loans: When 51% or more of 7(a) proceeds go to real estate, maximum maturity may reach 25 years.
  • 504 third-party loans: SBA removed the prohibition on Third Party loan amortization exceeding the 504 debenture term.

Version control is a workflow problem—tag every file with its SBA application date and loan number so each deal runs against the right rulebook. Deals near the cutover need the clearest audit trail.

Eligibility Requirements: Citizenship, Ownership, and Business Type

Under SBA Policy Notice 5000-876441, effective March 1, 2026, 100% of direct and indirect owners must be U.S. citizens or nationals. Those owners must also have a principal residence in the United States, its territories, or possessions. Lawful permanent residents (green card holders) are ineligible under SOP 50 10 8.1.

SBA also requires the applicant and its owners to be screened against the OFAC sanctions list. The U.S. Treasury's Office of Foreign Assets Control (OFAC) runs the official OFAC sanctions list search tool for that check.

Diligence the cap table early. The 100% test covers indirect owners, so an owner inside a holding company or trust counts too.

Eligibility is a KYB (know your business) data problem—automate ownership and sanctions checks at intake, before underwriting starts. Lendflow's KYB verification and risk scoring gives teams a structured view of business identity and risk up front.

Change of Ownership: The Four Appendix 15 Categories

SBA's SOP 50 10 8.1 full text sorts changes of ownership into four categories in Appendix 15. Rule details in this and the following sections come from that SBA document. These include categories, equity, QoE, valuation, DSC, refinancing, seller consulting, PFS, and insurance.

Initial Acquisition is the default category for 7(a) changes of ownership. The category drives what the lender collects, which DSC floor applies, and whether equity can be reduced.

CategoryDefinitionMinimum DSC
Initial AcquisitionCreates a new majority or largest individual owner who wasn't previously an owner, or was employed fewer than 24 months1.25:1
Business ExpansionA small business operating at least two full fiscal years under current ownership buys 100% of the ownership1.15:1
Owner BuyoutExisting or partial change; at least one original owner remains and guarantees the loan1.25:1
ESOP and CooperativeTransfer to an employee stock ownership plan or cooperative1.25:1

The buyer may contract with the seller as a consultant for no more than 24 months in aggregate, including any extensions. Align transition-services terms in the purchase agreement with that limit before signing.

Route deals by category at intake—each category triggers a different document checklist, DSC floor, and equity rule. A wrong tag early means re-collecting documents later.

‍

Equity Injection and Seller Note Rules

SOP 50 10 8.1 requires a 10% equity injection for Initial Acquisitions, and that requirement can't be reduced or eliminated. For Business Expansion and Owner Buyout deals, the lender may reduce or eliminate it when the applicant has sufficient liquidity and working capital.

Only debt on full standby, with no principal or interest payments for the 7(a) loan's term, may count as equity. The SOP also lists limited sources that, individually or in aggregate, may provide no more than half of the required injection.

Expenses for education, advisory services, or fees paid by the applicant to an agent are not eligible prepaid expenses. They don't count as equity.

Skip manual source-of-funds review—use bank statement data to verify where the injection comes from. The same data shows how long the funds have been in the account.

Partial Changes of Ownership and Rollover Equity

SOP 50 10 8.1 places partial changes of ownership inside the Owner Buyout category, alongside existing-owner buyouts. At least one member of original ownership must remain in place after the transaction and guarantee the loan.

Owners or employees in an Owner Buyout must have actively participated in business operations for at least the last 24 consecutive months. When a seller plans to roll over equity, check the guarantee rules in the SOP text before structuring the deal.

‍

Financial Documentation and Quality of Earnings Reports

A QoE report is an accountant's analysis of how much reported earnings are sustainable and backed by cash flow. Under SOP 50 10 8.1, a Purchase Price of $3 million or more requires a QoE in addition to the business valuation.

The $3 million threshold is set before buyer equity, seller debt, or other financing sources are applied. Owner Buyout and ESOP and Cooperative transactions are not subject to the QoE requirement.

Lenders must obtain tax return transcripts and reconcile any discrepancies, except for SBA Express and Export Express loans. SBA Form 413, the personal financial statement (PFS), must be dated within 90 days.

That is a document-heavy file, and it lands on every acquisition. AI financial document extraction pulls data from tax returns, statements, and bank records without manual rekeying. Paired with AI-powered lending workflow automation, teams cut manual document work as volume grows.

Lendflow's embedded finance customers operate with 80% smaller teams while converting similar funding volumes.

Credit Standards: DSC, Valuations, and SBSS Scores

DSC measures a business's cash flow against its debt payments. SOP 50 10 8.1 sets minimums of 1.25:1 for Initial Acquisition, Owner Buyout, and ESOP and Cooperative deals, and 1.15:1 for Business Expansion. Lenders use the last fiscal year-end or an average of the last two fiscal year-end statements.

Every change of ownership requires a business valuation. Total debt supporting the deal, including seller debt not on full standby, is limited to the business valuation amount.

SOP 50 10 8.1 does not set an SBSS (FICO Small Business Scoring Service) score cutoff. 7(a) Small loans are term 7(a) loans of $350,000 or less. Per SBA's technical-updates notice, 7(a) Small and SBA Express loans used for changes of ownership must meet full Appendix 15 DSC.

Compute DSC once, from live data. Automated credit underwriting and decisioning lets teams apply category-specific floors and route each deal to the right processing path.

Debt Refinancing Rules

SOP 50 10 8.1 limits refinancing of sales-based financing. Factoring agreements are not eligible for refinancing.

Sales-based repayment agreements, such as MCAs, qualify only under three conditions. The original agreement must have been converted to a term loan and amortized for at least 24 months, with no additional agreements since.

Surface MCA and factoring obligations from bank data during intake, before a borrower is promised an SBA payoff. A data-driven lending decisioning engine brings live credit signals into that call.

‍

SBA 504 Updates, Amortization, Fees, and Loan Limits

A Certified Development Company (CDC) is the SBA-certified partner that originates 504 loans alongside a third-party lender. Under SOP 50 10 8.1, the CDC must review all real estate title documents for non-environmental open-ended (indefinite) indemnification provisions.

SBA's technical updates expanded 327 guidance for handling those provisions. Start the title review early to leave time to resolve anything it finds.

Term limits follow the technical updates covered above. Qualifying Special Purpose Property acquisitions and 7(a) loans with 51% or more of proceeds in real estate can reach 25 years. Lenders may also reissue an SBA Express loan to term it out for no more than 10 years.

SBA's Information Notice 5000-881797 sets the FY 2027 7(a) fees, effective October 1, 2026. Confirm current fee and loan-limit figures with SBA before quoting borrowers.

How to Operationalize SOP 50 10 8 Compliance

The SOP 50 10 8 requirements reward teams that capture the right data once, at intake. Build the rules into the workflow as a checklist so eligibility gaps surface before underwriting starts.

For 7(a) loans and 504 projects greater than $50,000, SBA requires hazard insurance on all assets pledged as collateral. For a deeper evaluation framework, see our guide to choosing SBA lending software.

Not every deal will fit the SBA box. Don't let a decline end the conversation—route it through decline waterfalls to term loans, lines of credit, or equipment financing. Lendflow's embedded lending marketplace and APIs connect those paths, so no deal leaves money on the table.

The results show up in funding speed. Pre-qualified offers hosted on Lendflow drive an average of 42% faster speed to funding. In the last 12 months, more than $1.5B in offers were made on the platform (as of March 2025).
